Web Design Terms and Conditions

Please ensure that you read and understand these conditions. The client's approval for work to commence shall be deemed a contractual agreement between the client and Priday Design Studio.

Important: Approval for the work to commence and payment of any advance fee indicates that the client accepts the terms and conditions outlined in this document.

  1. Quotations: The price quoted is for the work agreed on the quotation only. If you want additional work, Priday Design Studio reserves the right to issue a new or supplementary quotation.
  2. Advance Payment: Priday Design Studio may require any client to provide a payment in advance, at an agreed rate before work is started.
  3. Payment terms: Priday Design Studio issues Invoices via the PayPal electronic funds transfer system and requires payment via the same system. Invoices will be emailed to the Client and will include a link to PayPal. Payment is made by clicking that link and following the online instructions. PayPal accepts most credit and debit cards. All Invoices will be presented in GB Pounds Sterling and be subject to VAT at the prevailing rate. If your PayPal payment fails for whatever reason, no work will commence on your Project. Additionally, Priday Design Studio reserves the right to impose a surcharge of £25.00 on any subsequent Invoice to cover our costs incurred by your failure to fulfil PayPal payment.  Invoices are issued on completion of a project or at pre-agreed times through the lifetime of a project. Priday Design Design may, exceptionally, agree an alternative payment method with a client.
  4. Late Payment: Priday Design Studio reserves the right to impose a surcharge of 10% of the value of any Invoice if that Invoice is not paid within 7-days of the issue date. The late payment amount will also be issued via PayPal.
  5. Priday Design Studio Intellectual Copyright: Priday Design Studio will hold intellectual copyright of any material, including any source code and original images created for the client until full payment of the final invoice has been received by Priday Design Studio. At this time it will become the property of the contracting client.
  6. Clients Responsibilities with Regard to Copyright: When you supply  images, text, animations and video/flash video for your website you are legally responsible for ensuring that you have the legal right to use it on your site. If Priday Design Studio uses images provided under licence from stock image suppliers we will inform you of the terms and conditions covering their use.
  7. Domain Name Registration Charges: You will be billed for all the costs arising from the registration of a domain name. Priday Design Studio will always register a domain name in your name (individually or in your business name as you require it) unless specifically required to do otherwise. Where Priday Design Studio are requested to register the domain in its name, Priday Design Studio reserves the right to charge a rental or usage charge for the domain. If at any time you request transfer of registration details to yourself (or your business), Priday Design Studio will agree to transfer this domain name immediately and without charge. Priday Design Studio agrees to only one such change of registration details under these terms. Any other arrangements will be subject to separate, specific terms.
  8. Failure to Provide Required Website Content: Should you fail to supply content (text, images, animations or video/flash video) at the agreed time during any prearranged project timeline, that timeline and the project completion dates may be jeopardised.
  9. Client Acceptance of Work Completed:  Priday Design Studio will add the initial design/layout of any website to our own workspace, on one of our own domains and inform the client - via email, to the email address supplied at placement of the contract. All amendments or changes will be made and the revised pages reloaded (and the client informed by email) until the client agrees that the work is complete to their satisfaction. Stage payment Invoices may be issued at each revision of pages. The final Invoice will be issued when the client agrees the site is complete. Only when the final invoice has been paid (and Priday Design Studio has been notified by PayPal of that payment) will we transfer the website pages to you. We will either supply the pages on a CD/DVD or if requested load them onto your hosting service. The client is required to ensure that they and Priday Design Studio have permission for any web page upload to a hosting service provider. 
  10. Search Engine Promotion: 1) Priday Design Studio will normally add META tags to your web pages - specifically the Title, Description, Author and Robots. 2) We will also submit your details to Google using their manual submission facility. 3) Unless specifically asked not to, Priday Design Studio will add a "Designed by Priday Design Studio" link to the bottom of each web page and add your site to our published list of clients. 4) Unless specifically requested not to, we will also instigate and submit  a Sitemap.XML to Google. 5) No other on-going web site promotion, will be carried out unless specified in the original quotation. NOTE: The search engines control the order in which websites are ranked in their natural search results. Consequently, Priday Design Studio is unable to make any guarantees about the success of these search engine promotion activities.
  11. Cancellation: Should you wish to cancel at any point during the design/development process (once a quotation has been agreed upon) you will remain liable for any work that has been completed and shall be invoiced accordingly.
  12. Future Support: Priday Design Studio is not responsible for future support or for future site operational problems. Priday Design Studio will be happy to quote for ongoing site maintenance, on a "one-off" or regular contract basis. No future support will be provided until all outstanding Invoices have been paid in full and Priday Design Studio has been notified by the payment facility (usually PayPal) that all requested monies have been received.
     

General Notes

Should Priday Design Studio waive any of these terms on an individual basis, this shall not affect the validity of remaining clauses or commit Priday Design Studio to waive the same clause on any other occasion.

By agreeing to these terms and conditions your statutory rights are not affected.

Priday Design Studio reserves the right to change or modify any of these terms or conditions at any time. Should clarification of any of the above be required please contact Priday Design Studios.

Potential and actual clients are asked to read the Priday Design Studio Privacy Policy in conjunction with these Terms and Conditions and individually and collectively they form the terms of your services from Priday Design Studio.

These terms shall be governed by, and interpreted in accordance with, the laws of England and Wales.
